An Indian company or founder can set up a business in Saudi Arabia by registering the investment with the Ministry of Investment of Saudi Arabia (MISA), then obtaining a Commercial Registration (CR) from the Ministry of Commerce. MISA lists about 10 working days to process a complete application. Ownership can be 100% Indian in most activities. Trading is the big exception. It needs SAR 30 million in capital and a presence in at least three markets, or a Saudi partner.

This guide covers who qualifies, which documents to prepare in India, how the process runs, and what to budget for. It is based on MISA’s own Investor Guide (13th edition, March 2026) and other official sources. Every rule is dated, so you can check it.

Key takeaways

  • An Indian company is treated as a foreign investor. Most activities allow 100% foreign ownership, with no local partner required.
  • Commercial (trading) activity is different: 100% foreign ownership needs SAR 30,000,000 in minimum capital and a presence in at least three regional or global markets. With a Saudi partner holding 25%, the minimum capital is SAR 26,666,667.
  • MISA now calls the first step “investment registration”. Most people still search for the “MISA license”, and the two terms point to the same step.
  • Plan on documents from India taking about a week to authenticate. MISA then lists 10 working days, and you must pay the fee within 15 business days of being notified or the registration is void.
  • You do not need to live in Saudi Arabia to start. A Power of Attorney lets a representative sign for you.

Company registration in Saudi Arabia for Indians: who can own what?

Yes. Under Saudi Arabia’s Investment Law, an Indian company is a foreign investor and can register for any economic activity that is open to investment. MISA registers activities by their ISIC4 classification and checks them against the requirements for the activity category, which is either “available” or “restricted”.

For most service, industrial, and other non-trading activities, a foreign investor can hold 100% of the company. You can read more about what each registration covers on our MISA licensing types page.

Three points shape your plan:

  • Your activity decides your ownership options. The same company can be fully foreign-owned in one activity and need a Saudi partner in another.
  • Registration is built around companies. MISA’s FAQ says it registers legal entities, foreign companies, and individuals who hold Premium Residency. A bare passport and a business plan are not what its checklist describes, so most Indian entrants are companies expanding with a subsidiary or branch.
  • There is no statutory minimum capital for an LLC under the 2023 Companies Law. MISA and the regulator for your activity can still set a practical threshold, as shown below.

For the wider case for entering the market, see why invest in Saudi Arabia. Trade between the two countries reached US$41.88 billion in FY 2024-25, according to the Embassy of India in Riyadh.

MISA license for Indian companies: which activities need extra capital or a partner?

MISA’s guide sets extra requirements for special categories of activity. These are the ones Indian founders meet most often. Figures are from the 13th edition of the MISA Investor Guide (March 2026).

Activity category Minimum capital Minimum Saudi share Extra requirements
Commercial (trading) with a Saudi partner SAR 26,666,667 25% None listed
Commercial (trading), 100% foreign SAR 30,000,000 None Presence in at least 3 regional or global markets
Professional activities with a Saudi partner None listed 25% Both partners licensed in the same field; a non-professional partner holds no more than 30%
Engineering consulting, 100% foreign None listed None Presence in 4 countries; at least 10 years of experience
Legal activity, 100% foreign None listed None Approval letter from the Ministry of Justice
Communications None listed 40% (30% for supportive communications) None listed

Note: Recruitment and domestic worker rental also carry special conditions, including a CR issued at least two years earlier and three years of authenticated financial statements. Activities outside this table are registered against the requirements of their own ISIC4 category. Confirm your activity before you commit to a structure.

Important: If you plan to trade or import goods from India, check this table first. Many guides describe a “trading license” as open to 100% foreign ownership without mentioning the SAR 30 million condition.

Subsidiary or branch: which structure fits?

Most Indian businesses choose one of two routes:

  • A Saudi subsidiary (usually an LLC). A separate legal entity that you own. It limits your liability to the company and suits businesses planning to hire locally and hold contracts in Saudi Arabia.
  • A registered branch of the Indian company. The Indian parent stays directly responsible for the Saudi operation. It can be quicker to explain to Indian stakeholders, but it ties the Saudi business closely to the parent’s finances and filings.

Neither is better in every case. The right choice depends on four things: your activity, your investment, who signs contracts, and how profits flow back to India. Get tax and liability advice before you decide.

Illustrative example (not a real client): an Indian IT services firm that wants to bill Saudi clients in riyals and hire a small team in Riyadh would typically look at a service-activity subsidiary. A Gujarat-based trader that wants to import and distribute goods would check the commercial thresholds first, because that route has the highest capital condition.

Documents required to open a company in Saudi Arabia from India

MISA’s guide lists the following for a foreign company applying for investment registration:

  1. A copy of the foreign partner’s Commercial Registration (in India, the Certificate of Incorporation issued by the Registrar of Companies).
  2. If the applying company is owned through an intermediate parent of a different nationality, a copy of that parent company’s registration as well.
  3. Financial statements for the last fiscal year, authenticated.
  4. Any extra items required by your activity category (see the table above).

In practice, Indian applicants should also prepare the following. These are typical, and your consultant will confirm the list for your activity:

  • Memorandum and Articles of Association (MoA and AoA) of the Indian company
  • A board resolution approving the Saudi expansion
  • Passport copies of the shareholders and the person who will be General Manager (GM)
  • A Power of Attorney for the person who will sign on your behalf

All documents must be translated into Arabic. Holders of the Special Residency Permit (Premium Residency) are exempt from items 1 to 3.

Apostille or Saudi embassy attestation?

This is the point where guides disagree, so here are the facts. India has been a party to the Hague Apostille Convention since 14 July 2005. Saudi Arabia joined it, with the Convention entering into force there on 7 December 2022, according to the HCCH status table. Between two member states, an apostille replaces the old chain of embassy legalization.

However, MISA’s FAQ and its 13th-edition guide still ask for the Commercial Registration and the financial statements “authenticated by the Saudi Embassy”. The treaty and the filing checklist don’t line up yet.

Important: don’t assume an apostille alone will be accepted on your file. Plan the pack as notary (if the document needs it), MEA apostille, certified Arabic translation, and budget for Saudi embassy attestation in case the reviewer asks for it. Confirm what MISA wants for your file before you pay for either step.

In India, the usual route for an apostille is:

  1. Notary attests a copy of the document.
  2. State-level attestation, where required.
  3. Apostille from the Ministry of External Affairs (MEA).

Service providers quote about 5 to 7 working days for this chain. Treat that as an estimate, not an official figure.

Business setup in Saudi Arabia from India: step-by-step process

Apex Arabia runs the setup as a 13-step roadmap in three phases. The steps below follow that structure. See the full step-by-step setup process for details.

Phase 1: Documents and authentication

  1. Confirm your activity and ownership route. Check the ISIC4 activity and the capital and partner conditions above.
  2. Prepare, authenticate and translate your documents. Get the apostille or attestation, then certified Arabic translations.
  3. Sign a Power of Attorney. This lets your representative act in Saudi Arabia while you stay in India.

Phase 2: Registration and Commercial Registration

  1. Apply for MISA investment registration. MISA lists 10 working days for a complete file. It then notifies you of the fee, and you have 15 business days to pay or the registration is considered void.
  2. Reserve the company name. Reserve early, because the Trade Name Law and review times can change.
  3. Sign the Articles of Association and obtain the CR from the Ministry of Commerce.

Phase 3: Activate your government accounts

  1. Register your National Address (SPL), Chamber of Commerce membership, and VAT with the Zakat, Tax and Customs Authority (ZATCA).
  2. Set up Qiwa (labor), GOSI (social insurance), Mudad (payroll) and Muqeem (residency) accounts.
  3. Apply for the General Manager visa and Iqama, and open a corporate bank account.

Each step depends on the one before it. One missing translation at step 2 holds up everything after it.

How long does business setup in Saudi Arabia from India take?

Stage Typical time Source
Notary, state attestation and MEA apostille in India About 5-7 working days Service-provider estimates
MISA investment registration (complete file) 10 working days MISA Investor Guide, 13th ed.
Paying the MISA fee after notification Within 15 business days MISA Investor Guide, 13th ed.
Business visit visa for an exploratory trip 1-3 working days MISA Investor Guide, 13th ed.
Whole setup once documents are ready Often a few weeks; longer if MISA queries the file or another authority is involved Planning range, not an official figure

Banking, visas and any sector approval can add time. Saudi weekends (Friday and Saturday) and public holidays don’t count as working days.

If you want to visit before committing, MISA’s business visit visa needs an invitation letter issued electronically by the Saudi Chamber of Commerce, a passport valid for at least six months, a photo, and the host company’s CR.

Saudi Arabia company setup cost: what you pay, and to whom

No honest guide can give one total. Your cost depends on your activity, structure and shareholders. Plan for these lines:

Cost line Paid to Notes
MISA investment registration fee MISA Set by MISA at approval and shown on the portal; payable within 15 business days. Fee schedules have changed in recent years, so don’t treat older figures as current. Read the invoice before you pay
Commercial Registration, article publication and Chamber of Commerce Ministry of Commerce and your Chamber Chamber membership is mandatory and grade-based, so there is no single national figure. Amounts are shown at checkout on the Saudi Business Center portal
Apostille, notary and Arabic translation Providers in India and Saudi Arabia Varies by number of documents
Service fee Apex Arabia Quote-based. Payment is staged: 50% at initiation, 45% at MISA registration, 5% at completion
VAT on services ZATCA 15%
GM Iqama, medical insurance, GOSI Government and insurers Depends on headcount
Office lease or National Address Landlord or provider Depends on city and space

Think in riyals, and convert to rupees at the day’s exchange rate. Be wary of any provider that quotes one all-in rupee figure without listing what’s included. For what Apex Arabia includes and excludes, see our pricing page.

After registration: what to set up next

Registration is the start, not the end. Within the first weeks you will need:

  • Payroll and social insurance through Mudad and GOSI
  • Workforce rules: Saudi nationalization quotas (Nitaqat) vary by activity and company size, so check the quota that applies to you before you hire
  • VAT filing and e-invoicing with ZATCA
  • Banking: a corporate account, often needing the CR, AoA and the GM’s documents
  • Visas and residency for you, your GM and your staff

Common mistakes Indian founders make

  • Choosing the activity after choosing the structure. The activity decides capital and ownership, so start there.
  • Skipping the embassy step because an apostille “should” be enough. MISA’s checklist still asks for embassy authentication. Confirm first, and budget for it.
  • Using out-of-date financial statements. MISA asks for the last fiscal year.
  • Missing the 15-day fee window. The registration is void if the fee is not paid in time.
  • Assuming 100% ownership applies to every activity. It does not, especially for trading.
  • Ignoring post-registration obligations. Late VAT, payroll or Qiwa setup creates penalties and blocks visas.

How Apex Arabia handles this for Indian founders

Frequently asked questions

Can an Indian company own 100% of a company in Saudi Arabia?

In most activities, yes. MISA allows 100% foreign ownership across many sectors. Commercial (trading) activity is the main exception: it needs SAR 30,000,000 in capital and a presence in at least three markets, or a Saudi partner holding 25%.

Do I need a Saudi partner to start a business in Saudi Arabia from India?

Not automatically. Some activities allow 100% foreign ownership. Others, such as trading with a partner or certain professional and communications activities, require Saudi participation. Check your activity’s requirements first.

How long does it take to register a company in Saudi Arabia from India?

MISA lists 10 working days for investment registration once your file is complete. Preparing and apostilling documents in India usually takes about a week first. Full setup, including the CR and government accounts, takes longer.

Do I need to travel to Saudi Arabia to set up the company?

Not to start. A Power of Attorney lets a representative sign and file for you. Some later steps, such as visa and Iqama procedures, involve the GM. MISA also offers a business visit visa if you want to visit first.

Do I need Saudi embassy attestation or an apostille for Indian documents?

India and Saudi Arabia are both parties to the Apostille Convention, which entered into force in Saudi Arabia on 7 December 2022. MISA’s checklist still says “authenticated by the Saudi Embassy”, so don’t assume an apostille alone is enough. Confirm what MISA asks for on your file before paying, and budget for the embassy step.

Is it called a MISA license or investment registration?

Both. MISA’s 2026 guide uses “investment registration”, while most founders still say “MISA license”. They refer to the same step: registering your foreign investment with the Ministry of Investment.
