The Saudi Arabia company registration process step by step involves two separate filings, not one. A foreign investor first registers the investment with the Ministry of Investment of Saudi Arabia (MISA). Once MISA notifies the investor that registration is complete, the investor can obtain the Commercial Registration (CR) and other licenses. This guide lists the stages a foreign founder will meet, shows which facts come from official pages, and says plainly where the order and timing must be confirmed for your own file.

Key takeaways

  • There are two registrations with two authorities: MISA investment registration (often called the “MISA license”) and the CR, which is issued electronically after a file is opened on the Ministry of Commerce site.
  • An official source states one order: the foreign investor registers with MISA first, and the CR and other licenses follow after MISA notifies completion.
  • MISA lists 10 working days for investment registration. No official page we read gives an end-to-end time or a fee for a company CR.
  • Guides disagree on where name reservation, the Articles of Association (AoA) and the bank account sit. Treat any fixed order, including the one below, as something to confirm.

Note: Items marked “(verify)” come from search summaries or non-official sources and have not been checked against the primary page. On 14 October 2026 we read three MISA pages in full: the frequently asked questions (FAQ), the Investment Law Q&A and the service level agreement (SLA) page. The Ministry of Commerce and Saudi Business Center pages could not be opened in that check, so what they say here is second-hand.

Two registrations, not one

Guides often blur two filings that official sources keep apart.

  • MISA investment registration. MISA now uses this name. Older guides and most consultancies say “MISA license” or “investment license”, and some still name the Saudi Arabian General Investment Authority (SAGIA), the former body whose functions moved to MISA. The Investment Law (Article 7(2)) says a foreign investor registers with MISA before investing. See our MISA licensing types page for what each registration covers.
  • Commercial Registration (CR). The CR comes from the Ministry of Commerce. MISA’s FAQ says it is issued electronically after a company file is opened on the Ministry of Commerce site.

The two are linked in sequence. MISA’s Q&A says that after MISA notifies completion, the investor can obtain the CR and other licenses. The FAQ adds that a client may take only the investment registration first and finish the rest later.

The MISA registration is issued in Arabic only. If you need an English copy, MISA’s FAQ says to use an accredited translation office.

Important: The MISA registration is not a CR. Holding one does not mean the company is registered with the Ministry of Commerce.

Saudi Arabia company registration process step by step: the stages you will meet

The numbered stages below group what a founder will meet. They are not a confirmed filing order. The only order an official source states is that MISA registration comes before the CR. For every other stage, the table after the list shows where sources disagree.

  1. Decide the activity, the entity form and the ownership route. The activity decides the requirements MISA checks. Entity forms usually named are the limited liability company (LLC), the one-person LLC, the joint stock company (JSC) and the branch. Check these against the 2023 Companies Law (verify). The rules per activity are not covered here; the licensing types page linked above is the place to start.
  2. Prepare and authenticate the parent-company documents. MISA’s FAQ says the foreign commercial registration and the last-year financial statements must be authenticated by the Saudi Embassy. Holders of Premium Residency do not submit these. Whether an apostille is accepted is disputed between sources. Our guide for Indian founders sets out that disagreement. The other documents depend on the activity (verify against MISA’s current checklist).
  3. Apply for MISA investment registration on the MISA investor portal. If MISA asks for more information, the reported reply window is not less than 15 working days, after which the application is treated as cancelled (verify).
  4. Pay the MISA fee and receive the registration. MISA notifies the fee after review. A payment deadline of 15 business days from notification is reported, after which the registration is void (verify).
  5. Open the company file on the Saudi Business Center. This is the Ministry of Commerce route for forming a company under an investment certificate. Reported prerequisites are an investment certificate valid for at least 30 days, no government employees among the partners, and a Saudi Central Bank (SAMA) license where the activity needs one (verify). Name reservation, the AoA, fee payment and CR issuance sit in this stage. Their internal order is disputed.
  6. Complete the registrations after the CR. These include the Chamber of Commerce, the Zakat, Tax and Customs Authority (ZATCA) for tax and VAT, Qiwa for labor, the General Organization for Social Insurance (GOSI), Mudad for payroll, Muqeem for residency, and the National Address with Saudi Post (SPL). A municipal license may apply to premises-based activities (verify).
  7. Arrange the General Manager (GM) visa, residency and the corporate bank account. The MISA SLA lists visa and residence permit services for senior professions at 1 working day each. What that covers for a new company is unclear (verify). The bank account’s place in the sequence is disputed.

Where sources disagree

We do not choose a side in the rows below. Confirm each for your own file before you spend money on it.

Question What sources say
Name reservation: before or after MISA registration? Some guides put the name first. Others put it after MISA registration. No official page we read states when. A reservation is reported to last up to 60 days (verify), so a slow document chain could use up the reservation.
Articles of Association: who handles it, and how long? Sources give a notary after Ministry of Commerce stamping; a Saudi Business Center application taking 3-5 working days; a MISA SLA row “Notarizing Articles of Association” at 2 working days, whose scope for a new company is unclear; and electronic authentication once the Ministry of Commerce file is open (MISA FAQ).
Bank account: before MISA, or after the CR? Some guides put it before the license, with capital deposited when the account opens. Most put it after the CR. One reports proof of a capital deposit before the CR is active.
Registrations after the CR: automatic or manual? A Ministry of Commerce page for sole proprietorships (summary only) says they are automatic. Guides for companies describe them as manual steps. Which applies to your company is unconfirmed (verify).
Minimum capital Sources conflict and the answer depends on the activity. We give no figure here.

Is the new registration process already in force?

Two official MISA pages read differently. The Investment Law Q&A says the new registration process starts when the Law takes effect, and that MISA will publish details before then. The FAQ (modified 24 June 2026) and the SLA page describe a registration service that is already running. We cannot say from these pages alone which one governs a filing made today. Ask MISA in writing.

How long does the process take?

As of 14 October 2026: MISA lists 10 working days for investment registration. No authority publishes an end-to-end time. Service providers say delays usually come from document authentication (verify).

Friday, Saturday and public holidays do not count as working days. These are reported figures, not promises. The MISA 10 working days covers only the MISA step.

What does it cost?

We give fee lines, not totals. MISA’s pages we read show no fee, and we found no official fee for a company CR.

Government fees are paid to the authority, not to a consultant. For what Apex Arabia includes and excludes, see our pricing page.

Filing from India or from Saudi Arabia

If you are in India, document authentication happens before the MISA filing can complete. That is where our guide for Indian founders, linked in stage 2, starts; this page does not repeat it.

If you are in Saudi Arabia, for example an adviser, accountant or partner acting for a foreign company, the same two filings apply. GCC citizens and fully owned GCC companies apply through the Ministry of Commerce rather than MISA, according to MISA’s FAQ.

Can you do it without traveling? MISA’s FAQ says an electronic establishment from abroad is possible. A Power of Attorney lets a representative file, and Apex Arabia can sign on your behalf under one. What a Power of Attorney may legally cover for each step must be confirmed with a Saudi-qualified lawyer (verify). Some later steps, such as the GM’s residency, involve the GM personally.

Common mistakes

  • Relying on pages that name SAGIA or GAZT. Those names are out of date. MISA and ZATCA are the current names.
  • Treating the MISA registration as the finish line. It is the first of two filings.
  • Missing the MISA fee deadline. The reported window is 15 business days, after which the registration is void (verify).
  • Letting a name reservation expire while documents are still being authenticated (verify the 60-day period).
  • Quoting 10 working days as the total. That figure covers only the MISA step.
  • Following one guide’s order as fixed. Guides disagree, as the table above shows.

What to confirm for your own file

Before you pay for attestation, a name or a fee, get written answers to these. MISA’s investor care team can be reached at investorCare@misa.gov.sa, and on 8002449990 inside the Kingdom or 00966115065777 from outside, per MISA’s FAQ.

  • Which filings does your activity and entity form need, and in what order?
  • Is the new registration process in force for your filing?
  • Is the 10 working days counted from submission or from a complete file?
  • Which attestation route does MISA accept for your documents?
  • When should the name be reserved, given the reservation period?
  • Who authenticates the AoA, and how is it signed if you are abroad?
  • Does your bank need a capital deposit before the CR is active?
  • What are the current MISA, CR and Chamber fees for your company?

Frequently asked questions

What is the first step to register a company in Saudi Arabia as a foreigner?

Under Article 7(2) of the Investment Law, a foreign investor registers with MISA before investing. MISA calls this investment registration. You prepare authenticated parent-company documents first, because MISA’s FAQ asks for the foreign commercial registration and last-year financial statements authenticated by the Saudi Embassy. The Commercial Registration comes after MISA notifies you that registration is complete. The order of the other steps, such as name reservation, is not stated by any official page we read, so confirm it for your file.

Is MISA investment registration the same as a commercial registration?

No. They are two filings with two authorities. MISA issues the investment registration, in Arabic only. The Ministry of Commerce issues the Commercial Registration (CR), electronically, after a company file is opened on its site. MISA’s FAQ says a client may take only the investment registration first and finish the rest later. Many consultancy guides use “MISA license” for the first filing and “company registration” for both, which is why the two are often confused. Holding the MISA registration does not mean the company has a CR.

How long does it take to register a company in Saudi Arabia?

MISA’s SLA page lists 10 working days for investment registration. That covers only the MISA step. No authority we found publishes an end-to-end time or a time for the company CR. Other guides give totals from about 3-6 weeks to about 4 months, and these are not official (verify). Delays usually come from document authentication, according to service providers (verify). Friday, Saturday and public holidays do not count as working days. Treat every timing as an estimate until MISA confirms it for your file.

Can I register a company in Saudi Arabia without visiting?

MISA’s FAQ says an electronic establishment from abroad is possible. A Power of Attorney lets a representative file and sign for you, and Apex Arabia can act under one. The legal scope of a Power of Attorney for each step should be confirmed with a Saudi-qualified lawyer (verify). Some later steps, such as residency for the General Manager, involve the GM personally. Premium Residency holders have different document rules, per MISA’s FAQ.

Which order should I follow for name reservation, the AoA and the bank account?

Sources disagree, and no official page we read settles it. Some guides reserve the name first, others after MISA registration. The AoA is described as notarized, authenticated electronically, or handled through the Saudi Business Center. Banks are placed before the license in some guides and after the CR in most. We do not pick a side. Ask MISA and a Saudi-qualified adviser to confirm the order for your activity before you pay for any of these steps.
