Can you set up a company in Saudi Arabia without travelling? It appears possible in principle, but we could not confirm the details. The Ministry of Investment of Saudi Arabia (MISA) says you do not need to visit its offices, and registration is electronic. No official page we read says who may sign and submit the application for an investor who stays in India, or whether any step needs the owner in person. This guide separates what is confirmed from what is not, and lists the points to confirm first. It is written for Indian founders first.
Key takeaways
- MISA’s FAQ says no visit to the Ministry is needed and registration is electronic. That is the confirmed part.
- We found no official page on whether a representative may sign the MISA application for a foreign investor, what a power of attorney (PoA) should contain, or how a PoA signed in India is authenticated.
- Consultancies report that the general manager’s residency steps and the bank account still need a person in Saudi Arabia. Those are not official statements (verify).
- In Apex Arabia’s practice, the client signs the papers in person, or gives a power of attorney in the name of Apex Arabia. We do not sign for you without one.
- Do not assume one PoA covers every filing. Ask a Saudi-qualified lawyer, in writing, which filings it covers.

What can you do to set up a company in Saudi Arabia without travelling?
One part is confirmed by an official source. MISA’s FAQ, last modified on 24 June 2026, says applicants “do not need to go to the Ministry in person” and that the investment registration application is submitted electronically.
What the FAQ does not say matters as much. It does not say a PoA is needed, who may hold one, what it contains, or whether the investor signs anything personally. It does not mention the general manager’s residency. It is a FAQ, not a rule text, so silence is not a “no”. Read “without travelling” as a question for each step, not a promise for the whole process.
What is a power of attorney, and what is it not?
A PoA is a signed document in which you authorize another person, the agent, to act for you in stated matters. It is a delegation, not a transfer of ownership. Indian founders often mix up two documents:
- The PoA appoints who acts for you in Saudi Arabia.
- Document authentication is the chain applied to your company documents, such as the commercial registration and financial statements, so Saudi authorities accept them.
They are separate jobs with separate steps and costs.
Who can sign what? Keep each filing separate
Consultancy pages blend everything into “your representative handles it”. The sources do not support that, so this table keeps each filing apart.
| Filing or step | What the sources say | Status |
|---|---|---|
| Visiting MISA | No visit to the Ministry’s headquarters. Registration is electronic. | Official (MISA FAQ) |
| A representative signing the MISA application for a foreign investor | Not stated. The FAQ mentions an “authorized representative or agent” only where a partner is a company. | Unconfirmed |
| What the PoA needs to contain for MISA | Not stated by any official page we found. | Unconfirmed |
| Bank account | SAMA’s rule lists a notarial PoA, or an equivalent authorization made inside the bank, as authority for named people to operate the account. Silent on presence and on foreign PoAs. | Official, partly silent |
| General manager residency | Not stated officially. Consultancies say it cannot be delegated (verify). | Unconfirmed |
| Tax registrations and filings | No official page found on who may register or file under a PoA. | Unconfirmed (verify) |
MISA filings
For a partner that is a company, MISA’s FAQ says the identity of its authorized representative or agent is checked against Ministry of Commerce records. The Ministry of Commerce step is completed through the establishment’s contact officer, who is registered with the Ministry of Investment. The FAQ does not say who the contact officer can be.
MISA’s service-level page lists “Issuing Powers of Attorney” with an execution time of 1 working day, with no description or audience. We do not know whether investors abroad can use it (verify), so do not read it as a route for your PoA. Consultancies say a notarized PoA is needed if a representative files the application (verify). No official page we found confirms this.
Bank account
SAMA’s Resident Companies rule lists a PoA issued by a notary, or an equivalent authorization made inside the bank by an empowered person, for the people who will sign and operate a company account. A PoA can therefore be part of how someone operates an account. The rule does not say a representative can open it while nobody attends, and it does not discuss a PoA signed abroad. Consultancies disagree on whether someone has to attend (verify), and banks can set their own conditions. Ask the bank.
Tax and other portals
We found no official page on who may register the company for tax or file returns under a PoA. One consultancy says the Zakat, Tax and Customs Authority (ZATCA) accepts an electronic PoA, without a source (verify). Leave this open until a Saudi tax adviser confirms it. See our post-incorporation checklist.
Which steps still need a person in Saudi Arabia?
Treat this section as reports, not rules. None of it comes from an official page.
- General manager (GM) residency. Consultancies say the residence permit steps, such as the medical test, fingerprints and photo, need the person themselves (verify). MISA’s FAQ is silent on GM residency. Several consultancies say a Saudi-resident GM is needed even with full foreign ownership (verify). We have not confirmed that.
- The bank meeting. Some consultancies say the GM or authorized signatory has to attend (verify). SAMA’s rule does not say that. The bank’s own policy decides.
Our guide to business setup from India says visa and Iqama procedures involve the GM.
How do you get a power of attorney from India?
No official Indian page we found explains how to execute a PoA for use in Saudi Arabia. The chain below is what consultancies describe, so every step is (verify).
- Execute it in India. Sign before an Indian notary and ask what identity checks and seal they apply. If the principal is a company, ask your chartered accountant (CA) or company secretary whether a board resolution is needed (verify).
- Authenticate it. Consultancies say notarize first, then authenticate by apostille or the Saudi embassy route (verify). Whether MISA, the Ministry of Commerce or a bank accepts an apostille on a PoA signed in India is not confirmed.
- Translate it, if asked. MISA’s FAQ says documents submitted to MISA need no translation. Other bodies may ask for Arabic (verify).
On authentication, the picture is mixed. MISA’s FAQ says a foreign company’s commercial registration copy and financial statements are authenticated by the Saudi Embassy. The Hague Conference on Private International Law (HCCH) status table lists both India and Saudi Arabia as Apostille Convention parties. The Ministry of External Affairs (MEA) lists an apostille fee of INR 50 per document, but is silent on PoAs. A SAMA circular says banks need no embassy authentication for apostilled foreign documents, which is not a statement about a PoA signed in India. MISA’s own position on apostille is not stated, so confirm the route before you spend on it. In our experience, both apostille and Saudi Embassy attestation are accepted for company documents, and apostille is easier and faster. That is our client experience, not MISA’s text, so confirm it for your documents (verify).
Can you use the Saudi electronic PoA from India?
The Ministry of Justice electronic PoA page lists Saudi nationals or residents with a valid identification document and an active national single sign-on account. Visitors and people outside Saudi Arabia are not mentioned. A PoA issued this way “shall not exceed one year”. Whether an investor in India can use it is unconfirmed, and one consultancy says only holders of a Saudi ID or residence permit can (verify). Older news reports describe electronic PoAs through Saudi embassies, but they name Saudi citizens abroad.
Drafting risks to raise with your lawyer
We do not publish a template, because the right wording depends on your facts. Put these points to a Saudi-qualified lawyer:
- Generic wording. Consultancies say banks and agencies may refuse broad, unlisted powers (verify). Ask for a PoA that names the filings it covers.
- Timing. A PoA signed before the company exists may be treated differently from one issued afterwards (verify).
- Duration and revocation. Ask how long it runs and how you cancel it.
- Share and bank powers. Ask whether the agent can deal with shares, capital or accounts, and whether you want that.
- Who the agent is. If your agent is also your service provider, ask how a conflict of interest is handled.
What can Apex Arabia do, and what have we not confirmed?
Our package covers pre-incorporation (documents), incorporation (the MISA registration, commercial registration and articles) and post-incorporation (government portals and the GM visa). See pricing for what is included.
On signing, our practice is simple. The client needs to be physically present to sign the papers. If the client cannot come to Saudi Arabia, they give a power of attorney in the name of Apex Arabia so that we can act on their behalf. So we do not sign for you without your signature or your PoA, and “no travel” is only possible with a valid PoA in place. We have our offices in Jeddah (head office), Dammam and Madinah, which is where we handle the Saudi side.
What we have not confirmed is the legal scope of that PoA, or who may file a MISA application for a foreign investor. We do not say a representative can sign everything, or that no step needs you in person. Until a Saudi-qualified lawyer confirms the wording in writing, read any page of ours that describes a PoA as letting us sign for you as “we can help you plan the steps”, not as a legal guarantee. If you are comparing providers, see how to choose a company setup consultant.
What to confirm before you rely on it
- Who may sign and submit the MISA registration for your Indian company, and under what authority? Ask MISA’s investor care channel or a Saudi-qualified lawyer, and keep the answer in writing.
- Does anyone have to sign in person at any MISA or Ministry of Commerce step?
- What should the PoA contain, and does your authentication route (apostille or Saudi embassy) work for it?
- Who is your representative in Saudi Arabia, and are they a Saudi resident?
- What does your bank need, and who attends?
- Which GM steps need the person in Saudi Arabia, and when?
- Who registers and files for tax, and does ZATCA need the owner or GM at any point?
Important: Do not pay for attestation or sign a PoA until you know which route the receiving body accepts. The wrong route can mean paying twice.
Documents for the application are listed in our MISA documents guide.
Frequently asked questions
Can I set up a company in Saudi Arabia from India without travelling at all?
It appears possible for some steps, but we could not confirm it for the whole process. MISA’s FAQ says you do not need to visit the Ministry and registration is electronic. The official pages we read do not say whether any step needs the owner in person, and consultancies report that GM residency and the bank account may (verify). Ask a Saudi-qualified lawyer to confirm, step by step, before you rely on it.
Do I need a power of attorney to register a company in Saudi Arabia?
We could not confirm it. MISA’s FAQ does not say a PoA is required, who may hold one, or what it contains. Consultancies say a notarized PoA is needed when a representative files the application (verify), but no official page we found confirms that. If you want a representative to act for you, ask a Saudi-qualified lawyer whether a PoA is the right tool and which filings it should name.
Can I use the Saudi electronic power of attorney from India?
Unconfirmed. The Ministry of Justice page lists Saudi nationals or residents with a valid identification document as eligible, and does not mention visitors or people outside Saudi Arabia. A PoA issued this way “shall not exceed one year”. One consultancy says only holders of a Saudi ID or residence permit can use it (verify). Ask a Saudi-qualified lawyer whether an investor abroad has any electronic route, and get the answer in writing.
Does a power of attorney let someone open the company bank account?
Not on the evidence we found. SAMA’s rule lists a notarial PoA, or an equivalent authorization made inside the bank, as authority for named people to operate a resident company’s account. It does not say a representative can open the account while nobody attends, and it does not address a PoA signed abroad. Ask the bank what it needs, and who attends, before you choose a signatory.
